These Terms of Service (this “Agreement”) are provided by Extend Studio SRL (“we,” “us,” or “SiteLeads”) to you (“You” or “User”), and govern the terms under which You may use the SiteLeads plugin and associated services (as defined below). By installing, activating, or using SiteLeads, You confirm that You have read, understood, and agree to be bound by this Agreement. If You do not agree, You must immediately discontinue use of the Plugin and Services.
This Agreement includes our Privacy Policy as an integral part hereof and applies to all Users.
1. Definitions
1. “Plugin” means the SiteLeads WordPress plugin, including all updates, upgrades, and associated files made available to You.
2. “Services” refers collectively to the Plugin, the SiteLeads web dashboard, AI Assistant functionality, lead capture features, analytics, and any other features we provide in connection with SiteLeads.
3. “Account” means the account You create with SiteLeads to access AI Assistant and premium features.
4. “AI Assistant” means the artificial intelligence-powered chat functionality within the Plugin that engages website visitors, answers questions, and captures lead information on Your behalf.
5. “Lead Data” means visitor contact information (including names, email addresses, phone numbers, and any other information) collected through the Plugin on Your website.
6. “Widget” means the floating contact button, chat interface, or other front-end element deployed on Your website through the Plugin.
7. “User Data” means all content, configurations, training materials, links, and information You submit to or through the Services.
8. “Visitor” means any individual who interacts with a Widget deployed on Your website.
9. “You” or “User” includes individuals and entities authorized to install or use the Plugin, including Your employees, contractors, and agents acting on Your behalf.
2. The Plugin and Services
1. SiteLeads is a WordPress plugin that enables website owners to deploy contact widgets, connect communication channels (such as WhatsApp, phone, email, Messenger, Telegram, and others), capture visitor leads, and optionally deploy AI Assistants to engage visitors automatically.
2. We grant You a non-exclusive, non-transferable, revocable license to install and use the Plugin on websites You own or manage, subject to Your compliance with this Agreement and applicable subscription terms.
3. To access AI Assistant functionality and certain Pro features, You must create a SiteLeads Account by providing a valid email address and any other required registration information. You must provide accurate, complete, and current information and notify us if Your information changes.
4. You are solely responsible for all activity that occurs under Your Account, including activity by any person You authorize to access Your Account. You must maintain the confidentiality of Your login credentials.
5. We reserve the right to modify, add, suspend, or discontinue features of the Services at any time. We will make reasonable efforts to notify You of material changes.
6. Free Plan Restrictions. On the Free plan, Your use is subject to limits including (but not limited to): the number of active widgets, AI Assistant message volume, leads captured per month, pages crawled for AI training, and file uploads. Specific limits are detailed on our pricing page and may be updated from time to time..
3. AI Assistant Functionality
1. The AI Assistant uses artificial intelligence to engage Your website visitors, answer questions based on training content You provide, and capture lead contact information. AI technology is improving continuously but is not perfect. You should not rely on AI-generated responses for critical matters such as legal, medical, financial, or safety decisions.
2. You are solely responsible for the accuracy and appropriateness of all content You use to train the AI Assistant, including website pages, uploaded documents, and any other training materials.
3. We make no guarantee that the AI Assistant will produce accurate, complete, or error-free responses. The AI Assistant’s responses do not represent the views or warranties of SiteLeads.
4. You acknowledge that AI Assistant responses are generated automatically and You are responsible for reviewing and, where necessary, correcting any inaccurate information presented to Your Visitors.
5. We reserve the right to monitor AI Assistant usage to prevent misuse and to ensure compliance with these Terms.
4. Lead Data and Visitor Information
1. Through the Plugin, You may collect Lead Data (names, email addresses, phone numbers, and other contact details) from Visitors to Your website. You are solely responsible for how You collect, store, use, and disclose Lead Data, and for ensuring Your collection practices comply with all applicable laws, including GDPR, CCPA, and other applicable data protection regulations.
2. You are responsible for providing appropriate privacy disclosures and obtaining any required consents from Visitors before collecting their personal information through the Plugin.
3. We process Lead Data on Your behalf as a data processor in order to provide the Services. We will not sell, rent, or share Lead Data with third parties except as required to provide the Services or as required by law. Please review our Privacy Policy for full details.
4. You grant us a limited license to access, store, and process Lead Data solely to the extent necessary to provide the Services to You.
5. Upon termination of Your Account or subscription, You are responsible for exporting any Lead Data You wish to retain. We may delete Lead Data from our systems after a reasonable retention period following termination.
5. Acceptable Use
You agree to use the Plugin and Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:
1. Collect personal information from minors without verifiable parental consent;
2. Send spam, unsolicited communications, or engage in phishing, pharming, or deceptive practices;
3. Impersonate any person or entity or misrepresent Your affiliation with any person or entity;
4. Violate the privacy rights, intellectual property rights, or other legal rights of any third party;h any person or entity;
5. Promote or facilitate illegal activities, violence, harassment, defamation, discrimination, or hate speech;
6. Transmit malicious code, viruses, or any harmful software;
7. Attempt to reverse engineer, decompile, or derive the source code of any part of the Services;
8. Use the Services in a manner that could damage, disable, or impair our servers or networks;
9. Collect, store, or process payment card data, government-issued ID numbers, or other highly sensitive personal information through the Plugin without implementing adequate security measures and complying with all applicable regulatory requirements;
10. Resell, sublicense, or otherwise exploit the Services for the benefit of third parties without our prior written consent (except as permitted under an Agency or Reseller plan).
We reserve the right to suspend or terminate Your Account if we determine, in our sole discretion, that You have violated these Terms or are engaging in abusive or excessive use of the Services.
6. Subscription, Fees, and Billing
1. SiteLeads operates on a freemium model. The Free plan is available at no charge, subject to usage limits described on our pricing page. Pro and Agency plans require payment of applicable subscription fees.
2. Subscription fees are charged on a monthly or annual basis, as selected by You, and are prepaid. Subscriptions automatically renew at the end of each billing period unless You cancel before the renewal date.
3. If Your payment cannot be processed, we may suspend Your access to paid features. The Plugin’s free features will continue to function, but Pro and AI Assistant features will be restricted until payment is resolved.
4. We reserve the right to change subscription pricing at any time. We will provide reasonable notice of pricing changes, and changes will take effect at Your next renewal.
5. Refund Policy. We offer a 14-day money back guarantee.
6. Taxes. You are responsible for all applicable taxes, duties, and levies on Your subscription fees, except where we are required by law to collect and remit taxes on Your behalf.
7. Proprietary Rights
1. Our Intellectual Property. All right, title, and interest in and to the Plugin, Services, underlying technology, code, design, and related materials are owned by SiteLeads or our licensors and are protected by applicable intellectual property laws. Nothing in this Agreement transfers any ownership rights to You.
2. Your Content. You retain ownership of all content, training materials, and configurations You submit to the Services. By submitting such content, You grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your content solely as necessary to provide the Services.
3. Third-Party Services. The Plugin may connect with third-party platforms (such as WhatsApp, Messenger, Telegram, and others). Your use of those platforms is governed by their respective terms of service, and we have no responsibility for the availability or behavior of third-party services.
8. Data Security
We implement reasonable technical and organizational measures to protect the Services and the data stored within them. However, no internet-based service can guarantee absolute security. You are responsible for maintaining appropriate security on Your WordPress installation, including keeping the Plugin, WordPress core, and all themes and plugins updated.
9. Disclaimer of Warranties
THE PLUGIN AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY AI Assistant RESPONSES.
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. YOU ARE RESPONSIBLE FOR DETERMINING THE SUITABILITY OF THE SERVICES FOR YOUR PURPOSES.
10. Limitation of Liability
1. Aggregate Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR IN THE EVENT OF AN ANNUAL SUBSCRIPTION, AN AMOUNT EQUAL TO ONE QUARTER OF SUCH ANNUAL FEE.
2. Exclusion of Consequential Damages. IN NO EVENT SHALL WE BE LIABLE FOR ANY LOST PROFITS, LOST REVENUES, LOST LEADS, LOSS OF BUSINESS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to defend, indemnify, and hold harmless SiteLeads and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your use of the Services; (b) Lead Data collected through Your widgets; (c) Your violation of these Terms; (d) Your violation of any applicable law or the rights of any third party; or (e) content used to train Your AI Assistant.
12. Term and Termination
1. This Agreement remains in effect as long as You use the Plugin or maintain an Account.
2. We may suspend or terminate Your Account or access to the Services at our discretion, with or without notice, if we determine that You have violated these Terms or engaged in conduct harmful to us, other users, or third parties.
3. You may terminate Your Account at any time by canceling Your subscription and deleting the Plugin from Your WordPress installation.
4. Upon termination, Your license to use the Services ends immediately. Sections 4, 5, 7, 9, 10, 11, and 13 survive termination.
13. Server Availability and Maintenance
Our servers and AI services may be temporarily unavailable due to planned or unplanned maintenance, technical issues, security actions, or other causes. We will make reasonable efforts to inform You of planned downtime. We are not liable for any damages or losses resulting from service unavailability.
14. Age Restrictions
Use of the Services is restricted to individuals who are 18 years of age or older and legally capable of entering into binding agreements. By using the Services, You represent that You meet this requirement.
15. Fair Use
We reserve the right to monitor usage and take action, including limiting or suspending access, if we detect abuse, excessive usage that strains our infrastructure, or usage patterns inconsistent with normal plugin use. We will use good judgment and attempt to contact You before taking such action where practicable.
16. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.
17. Force Majeure
We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, natural disasters, internet disruptions, labor shortages, or failure of third-party services.
18. Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above and, for material changes, provide notice through the Plugin or by email. Your continued use of the Services after changes take effect constitutes Your acceptance of the revised Terms.
